1. Introduction

Our platform allows sports clubs, leagues, and federations to connect with fans digitally, generate leads, and reward participation through custom games and sponsor placements. Accessing or setting up campaigns via our platform constitutes formal acceptance of these governing rules.

To access the Platform, your organisation must register for an account by providing accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your account.
• Notifying us immediately of any unauthorised access or suspected security breach.

UseAward reserves the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in activity that may harm the Platform or other users.

4. Services and Scope

UseAward provides sports organisations with the tools, infrastructure, and managed support to create and run fan engagement activations. Our specific obligations depend on the service package agreed at the time of onboarding, and may include:

• Campaign setup, branding, and configuration.
• Technical hosting and infrastructure management.
• QR code and shareable link generation.
• Real-time reporting and analytics dashboards.
• Campaign support and optimisation assistance.

UseAward does not guarantee specific levels of fan participation, engagement rates, or commercial outcomes.

5. Organisation Responsibilities

As a Client, you agree to:

• Provide accurate branding assets, questions, and campaign information in a timely manner.
• Review and approve activations before they go live.
• Distribute activations through your own channels (social media, arena screens, email, etc.).
• Ensure all prizes, rewards, or incentives offered through activations comply with applicable laws.
• Not use the Platform for any unlawful, deceptive, or harmful purpose.
• Not attempt to reverse engineer, copy, or redistribute any part of the Platform.
• Comply with GDPR and data protection laws when handling fan data received through the Platform.

7. Payment Terms

Where Services are provided under a paid arrangement:

• Fees are as agreed in your service proposal or subscription plan.
• Invoices are payable within 30 days of issue unless otherwise agreed in writing.
• UseAward reserves the right to suspend access if invoices remain unpaid beyond 30 days.
• All fees are exclusive of VAT, which will be applied where applicable under EU law.
• Refunds are not provided for partially used subscription periods unless UseAward is in material breach of these Terms.

8. Free Prediction Game Offer

UseAward may offer eligible sports organisations a free prediction game activation as an entry-level service. The following conditions apply:

• The free offer is available to qualifying organisations as determined by UseAward.
• UseAward reserves the right to limit the scope, duration, and features of the free activation.
• The free activation includes basic setup, branding, and one campaign launch.
• UseAward may follow up after the free activation with a proposal for continued or expanded services.
• The free offer may be withdrawn or modified at any time without notice.

9. Data Protection

Both parties agree to comply with applicable data protection legislation, including GDPR. UseAward acts as a data processor on behalf of the Organisation (data controller) in relation to fan data collected through Activations. A Data Processing Agreement (DPA) is available upon request by contacting info@useaward.com.

10. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with the Services, including pricing, campaign strategies, and technical details. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• UseAward's total liability shall not exceed the total fees paid by that Organisation in the 12 months preceding the claim.
• UseAward shall not be liable for any indirect, consequential, incidental, or special damages.
• UseAward does not guarantee uninterrupted or error-free operation of the Platform.

12. Warranties and Disclaimers

UseAward warrants that:

• The Platform will perform materially in accordance with its documentation.
• We will take appropriate measures to maintain the security of the Platform.

UseAward does not warrant that:

• The Platform will meet every specific requirement of your organisation.
• Activations will achieve particular levels of fan participation or commercial return.
• The Platform will be free from all errors or interruptions at all times.

13. Termination

By the Organisation: You may terminate your account at any time by providing written notice to UseAward at info@useaward.com. Termination does not entitle you to a refund of prepaid fees.

By UseAward: We reserve the right to suspend or terminate your access immediately if you breach these Terms or fail to pay amounts due.

Upon termination: UseAward will provide a reasonable opportunity to export your data prior to account closure.

14. Modifications to the Services and Terms

UseAward reserves the right to modify, update, or discontinue any aspect of the Services at any time. For material changes that affect active clients, we will provide at least 30 days' notice by email. Continued use of the Services after notification of changes constitutes acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Latvia and, where applicable, European Union law. Any disputes shall first be attempted to be resolved through good-faith negotiation. If no resolution is reached within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Latvia.

16. Entire Agreement

These Terms, together with any signed service agreement, proposal, and the Privacy Policy, constitute the entire agreement between UseAward and the Organisation regarding the Services and supersede all prior discussions, representations, or agreements.
